I said that the figure was underestimated and I was not ready to sell my shares at this price. 1 billion rubles, or approximately $17 million for a 22% stake, is a price based on less than $80 million for the entire company. But when the contract was presented to me, the figure indicated was even lower - 750 million rubles for 22% of the shares. This is about $12 million based on the company’s value of $55 million. It can be compared with recent transactions in the media market: “Road Radio” was sold last year for $60 million and “Chanson” in April of this year, also for $60 million. “Russian Media Group” the scale is much larger than the named stations combined. Therefore, I believe that the price quoted to me is not adequate to the market.

– Do you, as a shareholder, have a pre-emptive right to buy out the other party’s share?

- Undoubtedly. This is all stated in the company's charter. But I did not receive such an offer. Moreover, there was no official notice of the shareholders' decision to sell. Desperate to receive any documents about the impending transaction, I made a counter-offer on August 3 based on the cost that Olga Plaksina (chairman of the board of IFD Kapital and the board of directors of the Russian Media Group - Forbes ) told me. I proposed to buy out Capital’s share at the rate of 33.8 million rubles per share (the authorized capital of Russian Media Group CJSC is divided into 100 shares. - Forbes ). So far I haven't received any response. But through the press, Plaksina commented that I had double standards: I call one figure the market price, and make another offer. To which I answer: I am making you the same offer that you are making to me.

– What price do you consider to be the market price? General Director of State Concert Sergei Bunin said in an interview with Vedomosti that VTB valued RMG at 6-7 billion rubles.

– VTB only evaluates cash flows, it does not evaluate the value of brands. But take away the broadcasting base and leave me the name “Russian Radio” - I will leave only with a sign and I will be able to launch the station again. I believe that a fair price for RMG, taking into account the value of brands, is about 10 billion rubles. Moreover, this is an estimate given the current low market.

– In an interview with RBC, Olga Plaksina said that you were aware of the negotiations with Gosconcert and had full information about all the proposals.

- It is not true. Moreover, rumors circulated around the market and throughout the year I asked Plaksin whether a sale of the company was planned. To which I was told every time that no, there are no negotiations on the sale. Only in July, thanks to the Vedomosti newspaper, I saw a scan of a document dated October last year, on which Plaksina signed. Nine months ago, she, together with Kiselev, initiated this whole story with the creation of a new media holding based on RMG, was a participant in the process, while keeping me in the dark as the general director, member of the board of directors and shareholder. If there had been a normal market conversation, I would have joined in, and I think we would have found a mutually acceptable solution to the issue. I want the situation to not feel like a one-way street. We must hear each other. Unfortunately, there is no dialogue yet.

– If there was a dialogue and you were heard, where would you get the funds to buy out Capital’s share?

– I think I would have found a sufficient number of like-minded people who could provide the necessary financial support.

– One of the justifications for your resignation was a violation of labor discipline: you went on vacation without leaving a deputy in your place...

– For fourteen years, as the CEO, I have been going on vacation and notifying the board of directors about it in advance. And all these years, the question never arose as to why and how I went on vacation. It only arose when I refused to sell my shares at a low price. Half of our management is currently on vacation. All RMG shareholders are on vacation. Plaksina herself is now vacationing in Sardinia. A measure such as an emergency convening of the board of directors and changing the general director - I would say this is a form of pressure on me. There is no other explanation.

– It was also said that cases of corruption were revealed in RMG, episodes of the director general using his official position and the organization’s funds for personal interests...

– If such serious violations had been revealed, then, probably, I would not have been reappointed as general director (June 15, 2015 at the general meeting of shareholders of the Russian Media Group. - Forbes ). Second: it is unlikely that the general director and all top management would have been paid annual bonuses, a record in the entire history of RMG, in the amount of several tens of millions of rubles. All these decisions were made after the April internal audit. And three months later it suddenly turns out that I am a corrupt official. Although this whole situation was outlined to me on June 16 when they offered to sell the shares at a low price: if I don’t go through with the deal, then in the future I will be removed as general director, the opening of a criminal case and other horrors. All these hints of corruption with references to some abstract artists... Many respected artists and production centers can confirm that in 20 years of communication with Russian Radio, money as a means of getting on air has never figured in our relations. Therefore, if there are any significant letters, then this, unfortunately, is similar to the style of work of Mr. Kiselev. Let me draw your attention to one more thing. Kapital positions itself as an investment company. But it is probably stupid to make the last purchase of RMG shares based on the value of the holding at $300 million, and sell at a rate four times lower (in 2008, structures controlled by IFD Kapital bought 39% of RMG shares from its co-founder Vitaly Bogdanov, transaction was based on an estimate of the value of the entire group at $300 million - Forbes ). Usually this is done when you urgently need to get out of business or there are some problems with the company. But RMG is doing fine, and there is no objective need to sell at such a discount. What a subjective situation it is, it’s hard for me to judge. I don’t know for sure what’s in the heads of Plaksina and Kiselyov.

– Is it true that you are involved in the appeal of music producers and artists to Vladimir Putin with a request to prevent the sale of RMG?

- No, that's not true. I was not the initiator of this letter. But, of course, I knew that the artists were preparing such a letter. The fact is that Kiselev (officially he denies his involvement in the State Concert, although the Federal State Unitary Enterprise is actually run by his partner) in all private conversations began to spread his fingers like a fan and say that all the artists will now be at his fingertips. This scared the artists. And since Mr. Kiselev constantly refers to the first person of the state in all his actions, the artists turned specifically to the first person (the Federation Foundation became famous for the fact that Vladimir Putin sang and played the piano at its first charity concert in 2010. - Forbes ) .

– Why do you think the idea of ​​creating a patriotic music holding arose? RMG radio stations have never demonstrated any opposition. The artists whose songs you included in the rotation did not show in any way that they were not patriotic...

– Unfortunately, the most terrible thing in this whole story is the use of such a wonderful concept as patriotism for selfish personal purposes. “Russian Media Group” was initially built as a patriotic, nationally oriented holding – both mentally and musically. When there were military operations in the Caucasus, Tajikistan, and Kosovo, we, on our own initiative, traveled to hot spots with concert teams. We were not allocated a penny from the state budget for this. And now some, under the beautiful guise of patriotism, hide their desire to receive financial subsidies, sit on the state budget and extract money from it. This is my opinion why what is done is done. Another cover up for their insolvency with beautiful slogans.

– You know Leonid Fedun, the head of the board of directors of Capital?
